Throughout these Terms and Conditions, the following definitions apply:

VedVisuals provides the following services across four pillars:
The specific services, deliverables, timelines, and pricing for each project will be confirmed in a written proposal or agreement prior to commencement. These Terms govern all services unless a separate written contract states otherwise.
Service availability: We currently serve clients across Delhi NCR — New Delhi, Gurugram, Noida, Faridabad, and Ghaziabad. Remote services are available nationwide.

A project begins when both parties have agreed on scope, timeline, and price. The standard engagement flow is:
Verbal agreements are not binding. All scope, pricing, and timeline must be confirmed in writing before work begins. Changes to an agreed scope must be requested and approved in writing — they may affect timeline and cost.
No work begins without a written approval and advance payment. Starting a project verbally or without payment does not constitute a binding engagement.

Our standard payment structure is as follows unless a separate agreement is made in writing:
Accepted payment methods: UPI, bank transfer (NEFT/IMPS/RTGS), and other methods as agreed. All payments must be in Indian Rupees (INR) unless otherwise specified.
Late payments: Final deliverables will not be released until full payment is received. If payment is delayed beyond 7 days of the agreed due date, VedVisuals reserves the right to pause work and charge a late fee of 2% per week on the outstanding balance.
Refunds: The advance payment is non-refundable once work has commenced. If VedVisuals cancels a project due to our own default, the advance will be refunded in full within 14 business days.
GST: Applicable GST will be added to all invoices as per prevailing Indian tax law. Clients requiring GST invoices must provide their GSTIN before the invoice is raised.

Each project includes a defined number of revision rounds as specified in the proposal. Standard revision policy:
A revision is defined as minor changes to existing work — not a new direction, re-shoot, or complete redesign. If a client changes the brief after work has commenced, this constitutes a scope change and may incur additional cost and timeline adjustment.
Client approval: After each deliverable is sent, the Client has 5 business days to provide feedback or approval. Silence after 5 business days is treated as implicit approval and the project moves to the next stage or is closed.

Upon full and final payment, the Client receives full ownership of the Deliverables created specifically for them under the Project — including final video files, designed assets, and written content.
VedVisuals retains:
Third-party assets: If a project requires licensed music, stock footage, fonts, or images, the cost of licensing is the Client's responsibility unless included in the project proposal. VedVisuals will flag such requirements in advance.
Portfolio use: Unless you request otherwise before a project begins, we may use your project in our portfolio. Send us an email to opt out — we'll respect it, no questions asked.

Both parties agree to keep confidential any sensitive business information shared during a project — including unreleased products, internal strategies, pricing, and business plans — unless required by law to disclose.
This obligation applies during the project and for 2 years after its completion or termination.
Confidentiality does not prevent VedVisuals from displaying completed, publicly-released deliverables in our portfolio unless a separate Non-Disclosure Agreement (NDA) has been signed. If confidentiality is a requirement, please inform us before the project starts and we will execute an NDA.

A successful project requires input from both sides. The Client agrees to:
Delays caused by the Client — including late feedback, delayed asset delivery, or payment delays — may extend project timelines and are not the responsibility of VedVisuals. Additional costs incurred due to Client delays may be passed on.

VedVisuals will deliver services with reasonable skill and care in line with the agreed brief. However:
The Client warrants that all materials provided to VedVisuals do not infringe any third-party intellectual property rights and that the Client has full authority to commission the services described.
SEO & marketing results: We apply proven strategies but cannot guarantee specific rankings or ad performance. Any claims of "guaranteed results" from any third party are not endorsed by us.

Either party may terminate a project by providing written notice. The following applies on termination:
On termination, ownership of final delivered and paid-for assets transfers to the Client. Unpaid deliverables, raw files, and source assets remain with VedVisuals.
VedVisuals reserves the right to terminate immediately and without refund if the Client uses our services for illegal, harmful, or abusive purposes.

The website is provided "as is". We make no guarantees that it will be error-free, uninterrupted, or free from viruses. Links to third-party websites are provided for reference — we are not responsible for their content or practices.

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or from services rendered by VedVisuals shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
In the event of a dispute, both parties agree to first attempt resolution through direct negotiation in good faith. If unresolved within 30 days, either party may pursue legal remedies.
These Terms constitute the entire agreement between VedVisuals and the Client with respect to the subject matter and supersede all prior agreements, representations, or understandings.
Changes to these Terms: We may update these Terms periodically. Continued use of our website or services after updates are posted constitutes acceptance. Check the "Last updated" date above to track changes.
